Should I make others sign an NDA before I reveal secrets ? Investors, partners, employees etc ... Are NDAs enforceable in the Arab world, and should I have a different NDA for a different country/jurisdiction ? |

I agree with Mohammed and Habib, you should not go down an NDA path when it comes to investors. Having said that, outside of investors, you should definitely put NDAs in place with everyone else you deal with and to whom you might reveal sensitive information. NDAs have more than a legal value. Once signed they create a mutual understanding between both parties that discussed matters are private; and although you can't control whether this agreement is privately met by your partners, it at least gives them an indication that what was discussed should not be blogged about for example. The NDA template should be readily available within your organization. It should be clearly communicated, to all employees, that sensitive matters should not be discussed without NDAs. All signed NDAs should be stored in one place, with the CEO, CFO, or whoever has the administrative/compliance role in your organization. |

Investors will almost never sign an NDA so I wouldn't even ask for that. With clients/partners it's definitely advisable to sign an NDA even if it's hard to enforce. It puts virtual boundaries on what's ok to share and what's confidential. NDAs are usually very standard and you could probably find a few online. |

هناك مقولة تقول بأنه لا أحد يوقع على اتفاقيات عدم الافصاح. لو طلبت ذلك من المستثمرين والشركاء، فكأنك تقول لهم: أنا لا أثق بكم! بالنسبة للموظفين فالأمر عادل، ولو أنها غير مستحبة، لأن بعضهم قد يتعامل معك بعدها بحساسية. لذلك يفضل أن تحتفظ بالأسرار الأهم لنفسك، ولا تخبر بها إلا من تثق بهم. اتفاقيات عدم الإفصاح مثلها مثل أي عقد قانوني. يفترض أنها موجبة النفاذ ومحمية بالقانون في الدولة الموقعة فيها، والدول التي تدخل معها في اتفاقيات قضائية معينة. لكنك تعرف القانون في الدول العربية. هو عديم الجدوى إلا فيما تعلق بالمصلحة العليا للدولة! |
